Expert Terms & Conditions

Your participation as an industry Expert in any consultation, screening, survey, written engagement, project communication or other expert engagement through Silverlight Research Ltd is subject to these Expert Terms and Conditions.

1. Agreement

“Silverlight”, “we”, “us” and “our” mean Silverlight Research Ltd. “Expert”, “you” and “your” mean the individual expert, consultant, adviser, respondent, speaker or industry professional accepting these terms or participating in any engagement. “Client” means any party that engages Silverlight to source, organise, receive, access, purchase, use, review, analyse or commercialise expert information, consultations, responses, insights, data, research products, transcripts, recordings, summaries, surveys, written responses or related materials, including any user, affiliate, adviser, representative, contractor, fund, portfolio company, subsidiary, group company, customer, subscriber or other person acting for or nominated by a Client.

“Agreement” means these Expert Terms, the Privacy Notice, project terms, platform terms, payment terms, consent notices, call notices, screening notices, survey notices and other documents referred to in these Expert Terms.

By accepting this Agreement, registering as an Expert, responding to a project invitation, providing Expert Materials, participating in a Consultation, answering screening questions, completing surveys, submitting written responses, sending project communications, using a Silverlight platform, receiving payment from Silverlight or otherwise engaging with Silverlight or any Client, you agree to be legally bound by this Agreement.

This Agreement applies automatically to all Expert Materials and Silverlight Outputs unless Silverlight expressly agrees otherwise in writing for a specific engagement. Silverlight need not give separate call-by-call, survey-by-survey, screening-by-screening, project-by-project, communication-by-communication, output-by-output, product-by-product or publication-by-publication notice to exercise its rights, except where required by law.

Silverlight may update this Agreement by publishing an updated version at https://silverlightexperts.com/terms or otherwise making it available to you. Continuing to participate after an update means you accept the updated terms, except where law requires another process.

The Privacy Notice explains how Silverlight processes Personal Data and forms part of this Agreement for transparency. If these Expert Terms and the Privacy Notice conflict on contractual ownership, assignment, licence, commercialisation or intellectual property rights, these Expert Terms prevail to the fullest extent permitted by law. If they conflict on data protection transparency, rights or lawful-basis disclosures, the Privacy Notice applies.

2. Definitions

“Consultation” means any oral, video, telephone, written, survey-based, screening-based, platform-based, messaging-based, email-based, AI-assisted, software-assisted, analyst-assisted or other interaction involving an Expert, Silverlight, a Client, any third party engaged by or through Silverlight, or any person acting for Silverlight.

“Expert Materials” means all information, responses, comments, opinions, statements, answers, screening responses, survey responses, written responses, messages, emails, documents, notes, data, files, recordings, transcripts, transcript corrections, follow-up responses, profile information, contact information, biographical information, professional background information, call content, chat content, platform activity, project communications, client communications, market observations, KPI commentary, metrics, data points, expectations, forecasts, rankings, scores, sentiment, benchmarks, and any other content, materials, data or insights that you provide, create, communicate, submit or make available to Silverlight, any Client, any Third-Party Platform, or any person acting for Silverlight, whether before, during or after any Consultation or proposed Consultation.

“Expert Profile Information” means information about you as an Expert, including your name, job title, company, previous roles and companies, LinkedIn profile, work history, biography, professional background, seniority, geography, sector experience, functional experience, company experience, language skills, qualifications, expertise, availability, rates, project preferences, invitation preferences, compliance status, contact details where permitted, and any other expert profile or relationship intelligence information collected, created, enriched, inferred or maintained by Silverlight.

“Silverlight Outputs” means any transcript, recording, summary, extract, quote, citation, report, note, article, blog post, newsletter, LinkedIn post, social media post, public webpage, public report, private report, dataset, analysis, database, dashboard, benchmark, index, score, indicator, expert expectations product, insight, platform content, search result, client deliverable, research product, transcript product, expert intelligence product, market intelligence product, financial information product, AI-assisted output, LLM-assisted output, software-assisted output, analyst-assisted output, derived work, structured data, tagged data, indexed data, aggregated data, anonymised data, pseudonymised data, role-based citation, or other output created, generated, developed, enhanced, informed by, derived from, trained on, validated by, tested with, supported by or incorporating any Expert Materials or Expert Profile Information.

“Intellectual Property” means all patents, copyright and related rights, rights in recordings, transcripts, performer rights, moral rights, database rights, trade marks, goodwill, design rights, software rights, confidential information rights, data rights, dataset rights, compilation rights, derivative work rights, output rights, publication rights, publicity rights, neighbouring rights, and all other intellectual property, proprietary, economic, privacy-related, publicity-related or analogous rights, registered or unregistered, including applications, renewals, extensions, reversions and revivals worldwide.

“Third-Party Platforms” means third-party distributors, intermediaries, data partners, research platforms, financial information platforms, market data platforms, market intelligence platforms, information vendors, enterprise software platforms, investment research platforms, transcript platforms, expert intelligence platforms, CRM platforms, relationship intelligence platforms, AI tools, LLM tools, MCP-enabled tools, API-enabled tools, enterprise systems and similar third-party platforms, tools, services or channels. This includes platforms, tools or services similar to Bloomberg, FactSet, AlphaSense, Tegus, Affinity, Salesforce, HubSpot, Claude, ChatGPT and other financial information, market data, transcript, CRM, relationship intelligence, AI, LLM, MCP, API, research or enterprise software platforms.

3. Silverlight business

Silverlight is a knowledge research, expert network, market intelligence, transcript, data and information services business. It organises consultations, screenings, surveys, written engagements, expert data products, expert intelligence products, research products, transcript products, market intelligence products, indexes, benchmarks, reports, public publications and related services.

Silverlight Clients may include investors, consultants, banks, corporates, professional services firms, market intelligence users, financial information platforms, research platforms, data distributors, CRM platforms, relationship intelligence platforms, intermediaries, enterprise software platforms, information vendors, AI-enabled tools and other organisations.

Experts provide perspectives, information, data, responses, opinions and insights on sectors, companies, products, services, technologies, markets, geographies, supply chains, customers, competitors, regulations, operations, strategy, pricing, demand, supply, KPIs, metrics, data points, expectations and other topics. These materials may be used for business decisions, research, diligence, investment analysis, strategy, market intelligence, benchmarking, public reporting, private reporting, public publication, data products, AI-assisted products, LLM-assisted products, transcript products and related commercial services.

4. Acceptance and scope of rights

By accepting this Agreement, registering as an Expert, responding to a project invitation, providing Expert Materials, participating in a Consultation, answering screening questions, completing surveys, submitting written responses, sending messages, using any Silverlight platform, receiving payment from Silverlight or otherwise engaging with Silverlight, you agree to the recording, transcription, retention, use, reuse, publication, public publication, distribution, platform display, public display, client access, third-party access, onward distribution, licensing, sublicensing, sale, resale, AI-assisted use, LLM-assisted use, API access, MCP access, CRM access, relationship intelligence platform access, commercialisation and other exploitation of Expert Materials, Expert Profile Information and Silverlight Outputs.

Expert Materials, Expert Profile Information and Silverlight Outputs may be recorded, transcribed, retained, used, reused, published, publicly published, distributed, displayed, publicly displayed, disclosed, licensed, sublicensed, sold, resold, commercialised, analysed, transformed, quoted, cited, excerpted, incorporated into Silverlight Outputs, made available on Silverlight platforms, made available to Clients and prospective Clients, made available to Third-Party Platforms, and distributed externally through public websites, LinkedIn, social media, newsletters, public reports, public indexes, third-party distributors, intermediaries, data partners, CRM platforms, relationship intelligence platforms, research platforms, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, transcript platforms, expert intelligence platforms, information vendors, enterprise platforms, APIs, MCP-enabled tools, AI tools, LLM tools and similar channels.

Clients, prospective Clients, public audiences, Third-Party Platforms and authorised users, customers, subscribers and clients of Third-Party Platforms may browse, search, access, review, receive, retrieve, display, quote, cite, excerpt, use, compare, analyse and otherwise process your Expert Profile Information, Expert Materials and Silverlight Outputs through Silverlight platforms, client portals, databases, dashboards, search tools, public websites, reports, expert intelligence products, market intelligence products, transcript products, data products, research products, APIs, MCP-enabled tools, CRM systems, relationship intelligence systems, AI tools, LLM tools and other products, services and channels.

Third-Party Platforms and commercial partners may make Expert Materials, Expert Profile Information and Silverlight Outputs searchable, viewable, retrievable, analysable, quotable, citable, displayable, exportable, integrated, enriched or otherwise accessible to their own authorised clients, customers, users or subscribers, subject to relevant platform, contractual, technical and legal arrangements.

The rights granted to Silverlight are intended to be interpreted as broadly as possible and apply in any format, medium, language, product, service, channel or technology, whether now known or developed in the future, including platforms or services similar to Bloomberg, FactSet, AlphaSense, Tegus, Affinity, Salesforce, HubSpot, Claude, ChatGPT and other financial information, market data, transcript, CRM, relationship intelligence, AI, LLM, MCP, API, research or enterprise software platforms.

5. Project Consultations

On approval to engage in a Consultation, screening, survey, written response, project communication or other engagement, you confirm that you are suitably knowledgeable regarding the proposed sector and subject matter and will participate professionally and to the best of your ability.

If you become aware of any regulatory, professional, contractual, confidentiality, legal, employment, fiduciary or ethical conflict before, during or after any engagement, you must notify Silverlight immediately.

Your participation is voluntary. You may decline or stop participating at any time. Once you provide Expert Materials to Silverlight, any Client, any Third-Party Platform or any person acting for Silverlight, those Expert Materials and all related rights are governed by this Agreement.

Clients may contact you through the Silverlight platform to invite you to relevant projects. You may only accept projects with Silverlight Clients where the project or call is arranged or expressly approved by Silverlight before it begins. You cannot be compensated for unapproved Client work, even if it follows a Silverlight-arranged project.

6. Independent contractor status

You act as an independent contractor in your personal capacity. You are not a representative, employee, worker, agent, partner, fiduciary or adviser of Silverlight or any Client, have no authority to act or speak for Silverlight, receive no benefits from Silverlight or any Client, and are personally responsible for all taxes, filings, contributions and other payments due on payments received under this Agreement.

7. Tutorial for Experts

You confirm that you have understood Silverlight’s compliance training tutorial on conflicts of interest, material non-public information, confidential information and other key policies. Before each Consultation or engagement, you represent that you have reviewed the Tutorial for Experts within the previous 12 months.

8. Employment and compliance obligations

You represent, warrant and undertake that:

  • your biographical, professional and profile information is current, true, accurate and not misleading, and you will update material changes;
  • if you are an employee, officer, director, consultant, contractor or adviser of a company, you will not discuss or disclose confidential, proprietary, restricted or non-public information about that company;
  • you will not knowingly participate in a Consultation for a Client that is, or acts for, a competitor of your current employer or a company for which you serve as officer or director, unless permitted;
  • if your employment contract or policies require prior consent to participate, you will obtain it;
  • you will not provide confidential information relating to any company of which you are or were an employee, officer, director, contractor, agent, legal representative, partner, joint venturer, affiliate, consultant or adviser;
  • if you are an auditor or former auditor, you will not comment on any company you audited in the three years before the Consultation;
  • if you worked in accounting or finance at a company within the last year, you will not discuss accounting or financial issues relating to that company or its affiliates;
  • you will not participate while your employer is subject to a tender offer or in the process of an initial public offering;
  • you will inform Silverlight if you are, or have been during the past two years, an employee, adviser or consultant to any government, government department, government agency or state entity;
  • if you are an employee, officer or official of any government, government-controlled entity, public international organisation, political party, party official or candidate for political office, you will not discuss legislation, regulation, policy, contracts or other business you can vote on or influence;
  • you will not provide Expert Materials prohibited by law, regulation, contract, fiduciary duty, employment duty, professional duty, confidentiality obligation, court order, regulatory requirement or third-party obligation.

9. Healthcare professionals

You will inform Silverlight if you are involved, or were involved, in any clinical trial or test whose results have not been publicly disclosed. If you are a medical professional, you will not discuss unpublished clinical trial results, patient experience information, patient-identifiable information, personal health information, confidential medical information or non-public trial information.

10. Prior misconduct

You represent that you have not been found guilty of insider dealing, market abuse, money laundering, fraud, any dishonesty offence, or similar offence in any jurisdiction, and have not been subject to any order, judgment, action or investigation by any regulatory body. You must immediately inform Silverlight if this changes or if any related investigation or charge arises.

11. Non-solicitation and non-circumvention

For one year from completion of any project with a Client first introduced to you by Silverlight, you will not circumvent Silverlight by knowingly soliciting, negotiating with, or entering any agreement or arrangement with that Client to provide similar services without Silverlight’s prior written consent.

This does not apply to a proven pre-existing relationship based on past work, provided you notify Silverlight when the Client is proposed and do not participate in a Silverlight Consultation with that Client. Silverlight will not restrict you from accepting employment from a Client.

12. Confidentiality

You will not use or disclose confidential information disclosed to you before, during or after a Consultation, including Client identity, subject matter, questions, shared information, Expert Materials, Silverlight Outputs, platform content, project invitations and agreed rates.

You will not disclose confidential information or material non-public information regarding any company, security or financial instrument, or use such information for personal benefit, investment or trading decisions.

Confidential information means information identified as confidential or confidential by nature, including information concerning plans, business, strategy, operations, products, services, customers, suppliers, finance, technology, trade secrets, data or affairs of any third party.

Material non-public information means precise non-public information regarding a company, security or instrument that a reasonable investor would use to make investment decisions, or that would likely significantly affect an asset or investment price if generally available.

Confidentiality duties survive until the information becomes generally known and available to the public other than by disclosure by you or another person under a legal obligation not to disclose it.

These confidentiality obligations restrict your use and disclosure of confidential information received from or through Silverlight, Clients or third parties. They do not restrict Silverlight’s rights to use, own, license, sublicense, publish, publicly publish, distribute, disclose, commercialise, incorporate, analyse, summarise, transform, quote, cite, excerpt or otherwise exploit Expert Materials and Silverlight Outputs under this Agreement.

Breach may cause irreparable harm. Silverlight and/or the relevant Client may seek injunctive relief and other equitable remedies.

13. Intellectual Property and ownership

You are solely responsible for content you share, create, submit, communicate or make available in connection with services, Consultations, screening responses, survey responses, written answers, project communications and other engagements.

You represent, warrant and undertake that you own or have obtained all necessary licences, permissions, consents, approvals and rights for all Expert Materials you provide to Silverlight, Clients, Third-Party Platforms or third parties.

All Expert Materials are created for Silverlight and belong to Silverlight to the fullest extent permitted by law.

To the fullest extent permitted by law, you assign to Silverlight, by present and future assignment with full title guarantee, all right, title and interest in and to all Expert Materials and all Intellectual Property and other rights in them, including screening answers, survey responses, written answers, statements, comments, opinions, observations, analysis, insights, recordings, transcripts, transcript corrections, notes, summaries, follow-up communications, emails, messages, documents, files, forms, data, know-how, ideas, concepts, techniques, market observations, business information, professional insights, expertise, KPI commentary, metrics, data points, expectations, forecasts, trend observations, sentiment indicators, expert expectation statements, benchmark contributions, derivative works, Silverlight Outputs and other outputs created from, based on, informed by, trained on, derived from or incorporating any of the above.

The assignment includes all present and future rights, whether now known or created in the future, worldwide, for the full period of those rights, including renewals, reversions, extensions and revivals. You will execute documents and perform acts reasonably requested by Silverlight to confirm, perfect, enforce or give effect to this assignment.

To the extent any Expert Materials or rights in Expert Materials cannot be assigned, do not vest in Silverlight, or remain vested in you by operation of law, you grant Silverlight an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, exclusive, transferable and sublicensable licence to use, copy, record, transcribe, store, host, reproduce, publish, publicly publish, display, publicly display, distribute, disclose, transmit, broadcast, make available, communicate to the public, adapt, edit, modify, translate, summarise, anonymise, pseudonymise, aggregate, combine, analyse, index, tag, structure, search, excerpt, quote, cite, reformat, commercialise, monetise, sell, resell, license, sublicense and otherwise exploit the Expert Materials and all related rights for any purpose connected with Silverlight’s business.

The licence includes the right to make Expert Materials, Expert Profile Information and Silverlight Outputs available to Clients, prospective Clients, public audiences, distributors, intermediaries, commercial partners, data partners, service providers, information vendors, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, transcript platforms, expert intelligence platforms, CRM platforms, relationship intelligence platforms, enterprise platforms, AI tools, LLM tools, MCP-enabled tools, API-enabled tools and other third-party systems, including where those third parties make them searchable, viewable, retrievable, analysable, quotable, citable, displayable, exportable, integrated, enriched or otherwise accessible to their authorised clients, customers, users or subscribers.

Silverlight need not obtain additional permission from you or pay additional fees, royalties, revenue share, licence fees, residuals, platform fees, distribution fees, publication fees, public reporting fees, AI usage fees, LLM usage fees, API access fees, MCP access fees, data product fees, index fees or other compensation for any use, reuse, publication, public publication, distribution, disclosure, commercialisation, sublicensing, sale, resale, licensing, platform access, third-party access, onward distribution, AI-assisted use, LLM-assisted use, API use, MCP use, productisation or other exploitation of Expert Materials, Expert Profile Information or Silverlight Outputs.

Fees payable to you for a Consultation, screening, survey, written response or other engagement fully compensate you for your time, participation, Expert Materials and all rights assigned, licensed, waived or granted to Silverlight.

14. Use, distribution and commercialisation

Without limiting clause 13, Silverlight may use, reuse, publish, publicly publish, distribute, display, publicly display, disclose, commercialise, monetise, sell, resell, license, sublicense and make available Expert Materials, Expert Profile Information and Silverlight Outputs:

  • to Clients and prospective Clients;
  • through Silverlight platforms, client portals, databases, dashboards, searchable repositories, expert intelligence products, market intelligence products, due diligence products, research products, transcript products, data products, public reports, public webpages and other products or services;
  • through Third-Party Platforms and similar distribution channels, including Bloomberg, FactSet, AlphaSense, Tegus, Affinity, Salesforce, HubSpot, Claude, ChatGPT and similar platforms, tools or services;
  • as standalone content, bundled content, searchable content, tagged content, structured data, transcripts, transcript extracts, transcript quotes, summaries, snippets, datasets, reports, answers, notes, benchmarks, indexes, taxonomies, market maps, trend indicators, sentiment indicators or other research outputs;
  • in AI-assisted, LLM-assisted, software-assisted, retrieval-assisted, analyst-assisted, automated or semi-automated products, features, answers, summaries, analyses, search results, recommendations, reports, client deliverables, public reports and public publications;
  • in products or services provided to Clients other than the Client for whom the Expert Materials were originally created or submitted;
  • for internal research, compliance, quality assurance, training, audit, risk management, legal, operational, product development, product improvement, commercial, sales, marketing and business development purposes;
  • to create, improve, validate, test, support, evidence, retrieve, cite, analyse, compare, benchmark, enrich or otherwise develop Silverlight Outputs and Silverlight products and services;
  • through Silverlight websites, public webpages, blogs, newsletters, LinkedIn, social media, public reports, downloadable materials, presentations, media materials, marketing materials and public communication channels.

Silverlight may grant access to Expert Materials, Expert Profile Information and Silverlight Outputs by API, data feed, MCP server, connector, plugin, CRM integration, LLM integration, retrieval system, search system, database integration, enterprise integration or similar method. Such access may allow authorised third parties and their authorised clients, customers, users or subscribers to search, retrieve, display, analyse, quote, cite, compare, summarise, classify, export, integrate, enrich, benchmark or otherwise use them.

Silverlight may allow AI tools, LLM tools, retrieval systems, MCP-enabled tools and similar systems to access, process, retrieve, analyse, summarise, quote, cite, classify, benchmark, compare, display, generate outputs from and otherwise use Expert Materials, Expert Profile Information and Silverlight Outputs for Silverlight purposes, Client purposes, Third-Party Platform purposes, and products or services made available to third-party clients, customers, users or subscribers.

Silverlight may use Expert Materials and Silverlight Outputs even where such use competes with, replaces, reduces demand for, or otherwise affects future Consultations or engagements with you. You acknowledge that Silverlight may create recurring revenue products, platform products, data products, transcript products, AI-assisted products, LLM-assisted products, research products, market intelligence products, financial information products, public reports, public indexes, benchmarks and other commercial offerings based on or incorporating Expert Materials, Expert Profile Information and Silverlight Outputs.

15. Public publication

Silverlight may publish, publicly publish, display, publicly display, quote, cite, excerpt, summarise, compare, analyse, reproduce, reformat, distribute and commercialise Expert Materials, Expert Profile Information and Silverlight Outputs through public channels, including websites, public webpages, blogs, newsletters, articles, LinkedIn, social media, public reports, white papers, downloadable materials, presentations, public dashboards, public indexes, benchmarks, marketing materials, media materials, third-party websites, databases, information vendors, financial information platforms, market data platforms, investment research platforms, transcript platforms, CRM platforms, relationship intelligence platforms and other public or commercial distribution channels.

Public materials may include identifiable, pseudonymised, anonymised, aggregated, excerpted, role-based or unattributed information, depending on context, contractual permissions, consent position, lawful basis, fairness assessment and safeguards.

Unless Silverlight expressly agrees otherwise in writing, you have no right to approve, edit, withdraw, restrict or receive extra compensation for any publication, quotation, citation, excerpt, summary, analysis, report, benchmark, public post, webpage, social media post or other use of Expert Materials, Expert Profile Information or Silverlight Outputs.

16. AI, LLM, MCP, API and software use

Silverlight may use, and may authorise others to use, AI tools, large language models, machine learning tools, automation, retrieval systems, search systems, transcription tools, translation tools, analytics tools, classification tools, CRM tools, relationship intelligence tools, MCP servers, APIs, connectors, plugins and other technology systems to process, analyse, summarise, quote, cite, compare, benchmark, index, tag, classify, transform, retrieve, display and generate outputs from Expert Materials, Expert Profile Information, transcripts, recordings and Silverlight Outputs.

Silverlight may use Expert Materials and Silverlight Outputs to create, improve, test, validate, support, operate, train where permitted by applicable law and contractual safeguards, enhance and commercialise AI-assisted products, LLM-assisted products, software-assisted products, analyst-assisted outputs, search products, retrieval products, workflow products, expert intelligence products, market intelligence products, research products, transcript products, data products, datasets, benchmarks, indexes, public reports and private reports.

AI-assisted, LLM-assisted or software-assisted reports may quote, cite, excerpt, summarise, compare or analyse statements, comments, observations, opinions, expectations, KPI references, metrics, data points, forecasts, market views and other information provided by you in calls, transcripts, surveys, screenings, written responses, messages or communications.

Silverlight may make AI-assisted, LLM-assisted, retrieval-assisted or software-assisted outputs available privately to Clients, publicly through Silverlight channels, or through Third-Party Platforms, information vendors, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, transcript platforms, CRM platforms, relationship intelligence platforms, AI tools, LLM tools, MCP-enabled tools, API-enabled tools, distributors, intermediaries and commercial partners.

Tools and platforms similar to Claude, ChatGPT or other AI assistants may access Expert Materials, Expert Profile Information, transcripts, recordings, summaries, datasets, search results and Silverlight Outputs through MCP connections, APIs, connectors, plugins, retrieval systems or other controlled integrations, and may process them to generate summaries, reports, answers, rankings, indexes, comparisons, research outputs, market intelligence outputs and other commercial or operational outputs.

Silverlight may determine the technical, contractual and operational configuration of AI, LLM, MCP, API and software-assisted tools, including access controls, retrieval scopes, prompts, outputs, logging, retention, security safeguards and permitted use cases.

Silverlight does not permit third-party AI vendors to use Personal Data drawn from Silverlight systems to train their general-purpose foundation models except where you specifically agree, where data has been aggregated and anonymised so it is no longer Personal Data, or where otherwise permitted by law and contractual safeguards.

17. Expert Network Expert Expectations Index

Silverlight may create, maintain, publish, distribute, license, sublicense, sell, resell, commercialise and update an Expert Network Expert Expectations Index or similar products.

These products may show, summarise, compare, score, benchmark, index or analyse what Experts, Clients, Client users or other participants say, expect, report, observe or forecast about industries, sectors, geographies, companies, markets, products, technologies, business models, demand, supply, pricing, volumes, margins, costs, inventory, orders, backlog, churn, retention, hiring, budgets, spending, growth rates, performance indicators, operational metrics, financial metrics, customer metrics, sales metrics, product metrics, KPIs, risks, opportunities, sentiment, confidence, expectations, trends, market conditions, data points, public companies, private companies, portfolio companies, suppliers, customers, competitors and other market participants.

The index and similar products may be based on Expert Materials, Client materials, transcripts, transcript-derived insights, survey responses, screening answers, written responses, follow-up answers, platform records, datasets, analytics, AI-assisted analysis, LLM-assisted analysis, analyst-assisted analysis, third-party data, public sources and Silverlight Outputs.

The index and similar products may be made available privately to Clients, publicly through Silverlight channels, or through Third-Party Platforms, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, information vendors, data vendors, CRM platforms, relationship intelligence platforms, distributors, intermediaries and commercial partners.

18. Expert profile and contact information

Silverlight may collect, create, maintain, enrich, structure, tag, classify, display, disclose, publish and share Expert Profile Information.

Silverlight may make Expert Profile Information available to Clients, prospective Clients, Client users, platform users, authorised partners, research platforms, market intelligence platforms, financial information platforms, market data platforms, data platforms, CRM systems, relationship intelligence platforms, enterprise systems, intermediaries, distributors and, where appropriate, public audiences through websites, reports, articles, indexes, social media or other channels.

Where permitted by your preferences, consent, contract or law, Silverlight may make your contact details available so Clients, prospective Clients, authorised partners, Third-Party Platforms or authorised users of Third-Party Platforms can contact you directly about projects, calls, surveys, screenings, written responses, expert discovery, relationship intelligence, market intelligence, investment research, diligence, analytics, benchmarking, transcript products, expert intelligence products, public reports or other opportunities.

Clients and authorised partners may access, retrieve, search, filter, export, integrate, enrich, analyse, display, publish or use Expert Profile Information through Silverlight platforms, APIs, integrations, MCP tools, CRM systems, relationship intelligence systems, data feeds, search tools, dashboards or other distribution channels.

Silverlight may make Expert Profile Information, expertise information, work history, availability, rates, project suitability information, professional descriptors and, where permitted, contact details available to third-party CRM platforms, relationship intelligence platforms, market intelligence platforms, financial information platforms, market data platforms, research platforms, data platforms, enterprise systems, APIs, MCP-enabled tools, AI tools, LLM tools and similar providers, including where they make such information searchable, viewable, retrievable, exportable, analysable or otherwise accessible to authorised clients, customers, users or subscribers.

Preference changes or withdrawals relating to direct contact details apply prospectively where required by law, but do not affect Silverlight’s existing rights in Expert Materials, Expert Profile Information, Silverlight Outputs, transcripts, reports, datasets, indexes, benchmarks, published materials or materials already created, collected, processed, published, distributed, licensed, sublicensed, commercialised or otherwise used before the change or withdrawal.

19. Attribution and professional descriptors

Silverlight may identify, describe, tag, classify or cite the source of Expert Materials using professional descriptors, including current or former role, seniority, function, sector, industry, geography, company type, employer type, years of experience, qualifications, professional background, expertise or other relevant characteristics.

Silverlight may use identifiable, pseudonymised, anonymised, aggregated, excerpted, role-based or unattributed citations, depending on context, product, lawful basis, consent position, applicable law and safeguards.

Silverlight will not ordinarily identify you by name in reused Expert Materials or Silverlight Outputs unless you expressly agree, your name was already disclosed in the original engagement context, the use involves profile display or contact-sharing permitted under this Agreement, or disclosure is required or permitted by law, regulation, court order, compliance process, contract, platform process or publication context.

20. Moral rights and similar rights

You waive, to the fullest extent permitted by law, any moral rights, performer rights, attribution rights, integrity rights, rights to object to derogatory treatment, publicity rights, database rights, neighbouring rights and similar rights in or relating to Expert Materials and Silverlight Outputs.

You agree not to assert any ownership, confidentiality, exclusivity, approval, attribution, compensation, privacy, publicity, moral rights or similar claim against Silverlight, its Clients, affiliates, assignees, licensees, sublicensees, distributors, intermediaries, service providers or commercial partners in a way inconsistent with this Agreement.

21. Client use rights

For any Intellectual Property, Expert Materials, information, ideas, concepts, know-how, techniques, insights or materials you share with or provide to a Client in connection with a project, you grant that Client a perpetual, worldwide, royalty-free, transferable and sublicensable licence to use them.

Each Client may use any ideas, concepts, know-how, techniques, information, insights or Expert Materials you provide to that Client for any purpose, including business decisions, investment research, strategy, diligence, product development, market analysis, competitive analysis and devising, manufacturing, promoting and selling products and services using such information, subject to applicable law.

22. Additional engagement obligations

You will not provide investment, legal, financial, accountancy, medical or other regulated advice to any Client, including recommending, rating or valuing any security or advising on investment in, purchase or sale of securities.

You will not participate in any Consultation or provide any information, Expert Materials or content that would result in breach of law, regulation, agreement, employment duty, confidentiality duty, fiduciary duty, professional duty, ethical duty, disclosure restriction, or disclosure of confidential information, material non-public information, trade secrets, privileged information, unauthorised personal data or restricted information.

You will comply with all applicable anti-bribery, anti-corruption, anti-money laundering, sanctions, market abuse and similar laws and Silverlight policies, will not cause Silverlight or any Client to breach law, will not provide false, misleading, inaccurate, unlawfully obtained, confidential, privileged, restricted, regulated, protected or prohibited information, and will promptly notify Silverlight if any Expert Materials may be inaccurate, restricted, confidential, privileged, regulated, unlawfully disclosed or otherwise unsuitable for use.

23. Data protection

You have read and agree to the Silverlight Privacy Notice at https://silverlightexperts.com/privacy.

Silverlight may contact you for project invitations, screenings, surveys, written questions, follow-up questions, platform participation, compliance checks, payment administration and related purposes via LinkedIn, email, WhatsApp, SMS, telephone or other channels.

Silverlight may collect, store, use, disclose, display, publish, publicly publish, make available, distribute, transmit, sell, resell, license, sublicense, commercialise and otherwise process Expert Materials, Expert Profile Information and Silverlight Outputs, including screening answers, survey answers, written responses, call recordings, transcripts, extracts, summaries, messages, follow-up responses, project communications, professional descriptors, role-based citations and related insights.

Expert Materials, Expert Profile Information and Silverlight Outputs may be browsed, searched, accessed, reviewed, received, retrieved, displayed, analysed, quoted, cited, compared, exported, integrated, enriched, used and otherwise made available to Clients, prospective Clients, distributors, intermediaries, data partners, research platforms, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, transcript platforms, enterprise software platforms, CRM platforms, relationship intelligence platforms, AI tools, LLM tools, MCP-enabled tools, API-enabled tools, information vendors, service providers, public audiences and other third parties involved in Silverlight’s business, products, services, operations, compliance, technology, hosting, analytics, publication, distribution or commercialisation, including where such third parties make those materials available to authorised clients, customers, users or subscribers.

Silverlight may process Expert Materials, Expert Profile Information and Silverlight Outputs using human review, software tools, automated systems, retrieval systems, analytics tools, transcription tools, translation tools, AI-assisted tools, LLM-assisted tools, MCP-enabled tools, API-enabled tools and other technology systems for transcription, summarisation, analysis, search, indexing, tagging, retrieval, quality assurance, compliance review, client service, product development, product improvement, research production, platform functionality, publication, distribution, commercialisation and generation of Silverlight Outputs.

By accepting this Agreement and participating in any engagement, you have been informed that Expert Materials may be recorded, transcribed, retained, used, reused, published, publicly published, distributed, licensed, sublicensed, sold, resold, commercialised and otherwise processed under this Agreement and the Privacy Notice.

Silverlight need not provide separate notification before each individual Consultation, screening, survey, written response, message, project communication, publication or other engagement, except where expressly required by law.

Silverlight may retain Expert Materials, Expert Profile Information and Silverlight Outputs for as long as reasonably necessary for business, legal, regulatory, compliance, audit, product, research, client service, publication, contractual and legitimate commercial purposes, subject to applicable law and the Privacy Notice.

Nothing in this clause requires or permits you to provide personal data, confidential information, material non-public information, trade secrets, privileged information or other information you are not legally authorised to provide.

24. Recordings

Unless Silverlight expressly agrees otherwise in writing for a specific engagement, all Consultations, calls, video conferences, meetings, interviews, screenings, surveys, written exchanges, follow-up communications and other engagements involving you may be recorded, monitored, transcribed, translated, analysed, summarised and retained by Silverlight, Clients, service providers or persons acting for Silverlight.

Silverlight need not provide any separate notice, reminder, announcement, pop-up, verbal notification, written notification or additional consent request before recording, monitoring, transcribing, translating, analysing, summarising, retaining, using, reusing, publishing, publicly publishing, distributing, licensing, sublicensing, selling, reselling, commercialising or otherwise exploiting the relevant Expert Materials, except where expressly required by law.

Recordings and transcripts may be created and used for quality assurance, legal, compliance, audit, training, operational, client service, commercial, research, platform, product development, product improvement, distribution, publication, public publication, external distribution, AI-assisted, LLM-assisted, analyst-assisted and business purposes.

All recordings, transcripts, transcript corrections, notes, summaries, extracts, snippets and other outputs from or relating to any Consultation, call, screening, survey, written response or communication are Expert Materials and/or Silverlight Outputs and shall be owned, controlled, used, licensed, sublicensed, distributed, published, publicly published and commercialised by Silverlight under this Agreement.

Silverlight may publish, distribute, disclose, make available, sell, resell, license, sublicense or otherwise commercialise recordings, transcripts, transcript extracts, summaries, snippets, answers, responses, insights and other Expert Materials or Silverlight Outputs through Silverlight platforms, client portals, databases, research products, data products, transcript products, market intelligence products, AI-assisted products, LLM-assisted products, public websites, public webpages, blogs, newsletters, LinkedIn, social media, data feeds, APIs, MCP-enabled tools, CRM platforms, relationship intelligence platforms, third-party distributors, intermediaries, data partners, research platforms, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, information vendors and similar channels, including Bloomberg, FactSet, AlphaSense, Tegus, Affinity, Salesforce, HubSpot, Claude, ChatGPT and similar platforms, tools or services.

Silverlight may use recordings and transcripts to create searchable databases, expert intelligence products, client-facing research products, public research products, AI-assisted answers, LLM-assisted answers, software-assisted outputs, analyst-assisted summaries, structured datasets, tagged data, extracts, quotes, role-based citations, benchmarks, indexes and other Silverlight Outputs.

25. Payment

If you receive payment, you will apply for payment using Silverlight’s secured payment request page and provide bank account details. Silverlight will pay relevant fees for each completed engagement within 30 days from receipt of a valid payment application and may deduct recipient bank fees.

Unless expressly agreed otherwise in writing, fees paid to you are full and final consideration for your time, participation, Expert Materials and all rights assigned, licensed, waived or granted to Silverlight. No additional fee, royalty, licence fee, residual, usage fee, platform fee, distribution fee, publication fee, public reporting fee, AI usage fee, LLM usage fee, API access fee, MCP access fee, data product fee, index fee, revenue share or other compensation is payable for any use, reuse, publication, distribution, sublicensing, sale, resale, commercialisation, AI-assisted use, LLM-assisted use, platform use, external distribution, Client access, public access, third-party access, onward distribution or other exploitation of Expert Materials, Expert Profile Information or Silverlight Outputs.

If you do not receive payment, you must inform Silverlight by email within six months of the Consultation or engagement date. Silverlight may withhold payment if the engagement is arranged directly with a Client without notifying Silverlight in advance, or if you do not notify Silverlight within six months of non-payment.

26. Liability

Silverlight’s total liability in contract, tort, misrepresentation or otherwise arising in connection with this Agreement is limited to the fees paid to you as Expert.

Silverlight shall not be liable for loss of profit, business, revenue, goodwill, anticipated savings, data or information, loss arising from use, reuse, publication, public publication, distribution, sublicensing, commercialisation or disclosure of Expert Materials, Expert Profile Information or Silverlight Outputs, or any special, indirect, consequential, punitive or economic loss arising out of any engagement, Expert Materials, Silverlight Outputs or this Agreement.

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded or limited.

27. Indemnity

You will indemnify, defend and hold harmless Silverlight, its officers, directors, employees, agents, representatives, affiliates, Clients, prospective Clients, distributors, intermediaries, commercial partners, service providers, assignees, licensees and sublicensees from all claims, damages, losses, costs, liabilities, expenses, proceedings or amounts arising directly or indirectly from: your breach of this Agreement; your use of Silverlight systems; your violation of third-party rights; any allegation that Expert Materials infringe or violate Intellectual Property, confidentiality, privacy, employment, contractual, fiduciary or third-party rights; any allegation that Expert Materials contain confidential information, material non-public information, trade secrets, privileged information, unauthorised personal data or prohibited information; or any use, publication, distribution, disclosure, commercialisation or sublicensing of Expert Materials or Silverlight Outputs by Silverlight, any Client, distributor, intermediary, commercial partner or service provider, except to the extent caused by Silverlight’s fraud or wilful misconduct.

You will indemnify Silverlight against liabilities incurred in connection with claims alleging that work product or Expert Materials provided to Silverlight or any Client infringe Intellectual Property rights or other proprietary rights of any third party.

28. Use of Silverlight name

You must not use “Silverlight Research” or any Silverlight trade mark, symbol, logo or branding without Silverlight’s prior written consent.

29. Third parties

No third party has rights under this Agreement except as expressly stated. The Contracts (Rights of Third Parties) Act 1999 shall not apply except as expressly provided.

Clients, prospective Clients, affiliates, distributors, intermediaries, data partners, research platforms, financial information platforms, market data platforms, market intelligence platforms, investment research platforms, transcript platforms, CRM platforms, relationship intelligence platforms, AI tools, LLM tools, MCP-enabled tools, API-enabled tools, information vendors, service providers, commercial partners, assignees, licensees and sublicensees of Silverlight may rely on and enforce your compliance with clauses relating to Employment and Compliance Obligations, Healthcare Professionals, Prior Misconduct, Non-Solicitation, Confidentiality, Intellectual Property, Use and Distribution, Public Publication, AI, LLM, MCP and API Use, Expert Expectations Index, Client Use Rights, Additional Engagement Obligations, Data Protection, Recordings, Payment, Liability and Indemnity.

Third-party rights may be enforced only with Silverlight’s prior written consent. Silverlight may vary this Agreement without third-party consent. Section 2(1) of the Contracts (Rights of Third Parties) Act 1999 shall not apply.

30. Miscellaneous

No delay, failure, partial exercise or single exercise of a right is a waiver. If any provision is invalid, unlawful or unenforceable, it shall be severed to that extent and the rest remains valid.

This Agreement binds and benefits the parties’ successors and assigns. You may not assign or subcontract your rights or obligations. Silverlight may assign, transfer, novate, license, sublicense, delegate or otherwise deal with its rights and obligations, including in connection with any corporate transaction, financing, restructuring, sale, merger, acquisition, business transfer, platform arrangement, distribution arrangement, commercial partnership or similar transaction.

Clauses relating to Employment and Compliance Obligations, Healthcare Professionals, Prior Misconduct, Non-Solicitation, Confidentiality, Intellectual Property, Use and Distribution, Public Publication, AI, LLM, MCP and API Use, Expert Expectations Index, Client Use Rights, Additional Engagement Obligations, Data Protection, Recordings, Payment, Liability, Indemnity, Third Parties and Miscellaneous survive expiry or termination.

Termination does not affect accrued rights or Silverlight’s ownership of, rights in, licences to, or rights to use, reuse, publish, publicly publish, distribute, disclose, sublicense, commercialise or otherwise exploit Expert Materials or Silverlight Outputs created, submitted, communicated or made available before termination.

If you are an interpreter engaged by Silverlight, you are bound by this Agreement except for Payment and will be paid as agreed between Silverlight and you or, if applicable, your employer.

This Agreement and any dispute or claim arising out of or in connection with it, including non-contractual disputes or claims, are governed by English law. Without prejudice to Silverlight’s right to take proceedings before any other court of competent jurisdiction, the parties irrevocably submit to the exclusive jurisdiction of the English courts.

31. Platform profile and direct contact notice

To help Experts and Clients connect on relevant projects, Silverlight enables Clients and authorised platform users to browse, search, filter, review and access Expert Profile Information, including details available on LinkedIn or otherwise provided to, collected by, generated by or enriched by Silverlight.

If you consent for your contact details, including email address and telephone number, to be available to Silverlight Clients or authorised partners, they may contact you directly by email, SMS, WhatsApp, telephone or other channels regarding suitable projects.

This feature enables Experts to connect directly with Silverlight Clients through the platform when contacted about projects, subject always to this Agreement and Silverlight approval and compliance requirements.

Your consent preferences for direct contact details do not limit Silverlight’s rights to use, reuse, publish, distribute, disclose, license, sublicense, commercialise, process or otherwise exploit Expert Materials, Expert Profile Information, Silverlight Outputs, transcripts, recordings, summaries, extracts, datasets, reports, indexes, benchmarks or related outputs under this Agreement, except to the extent required by applicable law.
